Terms of Service

OnlyPros is a verified membership platform for eligible first responders in Canada. The Platform allows users to: • Browse participating or proposed brands • Submit verification for membership eligibility • Vote for brands and suggest brands • Access partner or affiliate links, offers, and promotions made available to verified members • Participate in contests, promotions, referral programs, and community features where offered OnlyPros is designed to build a verified member community and demonstrate aggregate member demand and engagement data to current and prospective brand and retail partners.

To use the Platform, you must: • Be at least the age of majority in your province or territory of residence, and in any event at least 18 years old • Reside in Canada • Provide accurate, current, and complete information • Comply with these Terms and all applicable laws For our initial launch phase, membership is intended for career firefighters, law enforcement officers, and EMS professionals actively employed in Canada. Volunteer firefighters, military personnel, and other groups are currently excluded unless we expressly expand eligibility. We may change eligibility criteria at any time.

You may browse some portions of the Platform without registering, but certain features are available only to registered or verified members. Verified members may access additional features such as voting, brand suggestions, affiliate links, and giveaways. You agree to: • Provide truthful registration information • Keep your login credentials confidential • Promptly update your information if it changes • Notify us immediately of any unauthorized account use or security incident You are responsible for all activity under your account unless caused by our negligence or willful misconduct.

Access to verified-member features requires approval through our verification process. Verification requires documents including a valid Canadian driver's licence together with employment-related proof — such as a pay stub, letter of employment, or badge/ID card. By submitting verification materials, you represent and warrant that: • The materials are authentic, current, and belong to you • The information you provide is complete and accurate • You are eligible for membership under our then-current eligibility criteria We may approve, deny, suspend, revoke, or require re-verification of membership at any time, in our sole discretion, acting reasonably to protect the integrity and security of the Platform. Verification is a privilege, not a right.

We collect, use, store, and disclose personal information in accordance with our Privacy Policy and applicable Canadian privacy law, including PIPEDA for commercial activities. Verification documents are stored in secure systems with restricted access and are intended to be deleted after approval or rejection, subject to legal, security, fraud-prevention, backup, or record-retention requirements. Your verification documents are not used for public display.

We may offer different levels of access, including: • Public visitors: limited access to public-facing pages • Registered users: access to account creation and verification submission • Verified members (profile incomplete): limited access pending profile completion • Verified members (profile complete): full access to voting, brand suggestions, affiliate links, promotions, giveaways, and other member-only features • Administrators: internal management access We may change, add, remove, or restrict features at any time.

Membership and access to the Platform are personal to you. Unless we expressly allow otherwise in writing, you may not: • Share member-only access with another person • Use the Platform for resale, commercial redistribution, or competitive intelligence • Reproduce, disclose, scrape, republish, or distribute member-only pricing, offers, links, or partner materials • Use the Platform for any business purpose not expressly authorized by us If member-only pricing, links, or offers are made available, they are intended only for the verified member's personal and lawful use.

OnlyPros may display affiliate links, partner links, promotional offers, and brand content. When you click a partner link, you will leave the Platform and transact directly with a third party. Unless expressly stated otherwise: • OnlyPros is not the seller of third-party goods or services • Your purchase contract is with the partner or retailer, not with OnlyPros • Product availability, pricing, fulfillment, delivery, returns, and warranties are determined by the partner or retailer • We do not guarantee any particular discount, savings amount, inventory level, or ongoing offer We may receive affiliate commissions, referral fees, or similar compensation from some partners.

Verified members may vote for brands and suggest brands. Members may vote once per brand. Brand suggestions may require admin approval before appearing on the Platform. You acknowledge and agree that: • Vote totals, leaderboards, trend data, city/province statistics, and aggregated demand analytics may be displayed publicly or shared with partners • We may use de-identified, aggregated, or anonymized data for analytics, commercial reporting, and business development • Nothing on the Platform obligates us to add, remove, rank, or partner with any specific brand

OnlyPros may offer referral programs, milestone rewards, contests, sweepstakes, or giveaways, including merchandise or travel-related prizes. Referral rewards and milestone incentives may change or be withdrawn at any time. All contests, draws, giveaways, and promotions are subject to: • These Terms • Any specific official rules posted for the applicable promotion • All applicable federal, provincial, and territorial laws of Canada Where required by law, official promotion rules will govern if they conflict with these Terms. No purchase necessary to enter or win. Skill-testing question may be required.

By creating an account, you agree that we may send you transactional and service-related messages, including messages about your account, verification status, membership, referrals, contests, and partner access. Where we send commercial electronic messages, we intend to do so in compliance with Canada's Anti-Spam Legislation (CASL). You can unsubscribe from marketing communications using the unsubscribe mechanism in the message, but you may still receive essential transactional messages.

You agree not to: • Use the Platform for any unlawful, fraudulent, deceptive, or unauthorized purpose • Impersonate any person or misrepresent your employment, eligibility, or identity • Submit false, altered, forged, or misleading verification materials • Interfere with, disrupt, damage, or compromise the Platform or its security • Introduce viruses, malware, bots, or other harmful code • Scrape, data-mine, or extract content using automated means without our written consent • Circumvent access controls or security measures • Post unlawful, defamatory, hateful, obscene, or infringing content • Use the Platform in a way that infringes any intellectual property or privacy rights

If you submit reviews, comments, suggestions, testimonials, photos, brand suggestions, or other content ("User Content"), you grant OnlyPros a non-exclusive, worldwide, royalty-free licence to use, store, reproduce, modify, publish, and distribute that User Content for operating, improving, and promoting the Platform. You represent and warrant that you own or control the rights necessary to submit the User Content, it is accurate, and it does not violate any law or third-party rights. We may remove or refuse User Content at our discretion.

The Platform, including its software, design, text, graphics, logos, trademarks, and content, is owned by or licensed to OnlyPros and is protected by copyright, trademark, and other laws. Except for limited personal use expressly permitted by these Terms, you may not copy, reproduce, republish, distribute, sell, or create derivative works from Platform content without our prior written consent. All third-party names, logos, and trademarks are the property of their respective owners.

To the maximum extent permitted by applicable law, the Platform is provided on an "as is" and "as available" basis. We disclaim all representations, warranties, and conditions, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, secure, or error-free, or that partner offers or links will remain active or unchanged.

To the fullest extent permitted by law, OnlyPros and its directors, officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising out of or related to the Platform or these Terms. Our total aggregate liability will not exceed the greater of: (a) the amount you paid us directly in the 12 months before the event giving rise to the claim; or (b) CAD $100. Nothing in these Terms excludes liability that cannot be excluded under applicable Canadian law.

You agree to defend, indemnify, and hold harmless OnlyPros and its directors, officers, employees, affiliates, and agents from and against any claims, losses, liabilities, damages, and expenses, including reasonable legal fees, arising out of or related to your use of the Platform, your breach of these Terms, your User Content, or your violation of any law or third-party rights.

We may suspend, restrict, or terminate your access immediately, with or without notice, if you breach these Terms, are no longer eligible, submitted false verification, or if we suspect fraud, abuse, or a security risk. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination will continue to apply.

Nothing in these Terms is intended to limit any non-waivable rights you may have under applicable consumer protection legislation in Ontario or federally in Canada. If there is a conflict between these Terms and mandatory consumer protection law, the mandatory law will prevail to the extent of the conflict.

These Terms and any dispute arising out of or relating to the Platform will be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. You and OnlyPros agree that the courts located in Ontario, Canada will have exclusive jurisdiction over disputes arising from or related to these Terms or the Platform.

We may amend these Terms from time to time. When we do, we will post the updated version on the Platform and update the "Last Updated" date. Changes become effective when posted. Your continued use of the Platform after revised Terms take effect constitutes acceptance of the revised Terms.

These Terms, together with our Privacy Policy and any official contest rules, constitute the entire agreement between you and us regarding the Platform. If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver of that right. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
